Full Terms & Conditions
EGO CO. — TERMS & CONDITIONS
Effective Date: January 10, 2026
Last Updated: October 6, 2026
These Terms & Conditions (“Terms”) govern all services provided by Ego Co. (“Ego Co.,” “we,” “us,” or “our”) to the individual or entity purchasing or receiving services (“Client,” “you,” or “your”).
These Terms apply to subscription services, marketing services, strategy and consulting, branding, website design and development, creative services, social media services, and any other services provided by Ego Co.
By purchasing services, submitting payment, accepting a proposal or statement of work, electronically accepting these Terms, or otherwise engaging Ego Co. to perform services, Client acknowledges that Client has read, understood, and agreed to these Terms.
Any proposal, invoice, subscription description, scope of work, order form, or other written service agreement issued by Ego Co. is incorporated into these Terms by reference. If a service-specific written agreement expressly conflicts with these Terms, the service-specific agreement controls solely with respect to that conflict.
1. SERVICES
Ego Co. provides creative, marketing, branding, strategy, consulting, website, content, social media, and related professional services.
The exact services, deliverables, fees, timelines, and limitations applicable to a Client engagement will be described in the applicable proposal, subscription, invoice, scope of work, or other written agreement.
Ego Co. will perform services in a professional and commercially reasonable manner. However, all services are provided on a best-efforts basis.
No Guarantee of Results
Marketing and creative services inherently involve factors outside Ego Co.’s control.
Accordingly, Ego Co. does not guarantee:
-
revenue or sales increases;
-
lead generation;
-
audience or follower growth;
-
engagement rates;
-
website traffic;
-
search engine rankings;
-
conversion rates;
-
media coverage;
-
business profitability;
-
advertising performance;
-
social media performance; or
-
any other particular business or marketing outcome.
Client understands that recommendations, projections, strategies, forecasts, and opinions provided by Ego Co. are professional judgments and not guarantees.
2. SUBSCRIPTIONS
Billing and Automatic Renewal
Unless otherwise stated in writing, subscriptions are billed in advance on a recurring monthly basis.
Client authorizes Ego Co. and its payment processor to charge the payment method on file for all recurring subscription fees and other authorized charges.
Subscriptions automatically renew for successive monthly billing periods until canceled in accordance with these Terms.
CLIENT ONBOARDING & FIRST BILLING CYCLE
Onboarding Period
The first billing cycle of a new subscription serves as both the Client's onboarding period and the beginning of active services.
The subscription begins on the date the initial payment is successfully processed unless otherwise stated in writing. The onboarding period does not delay, pause, or extend the Client's billing cycle.
During onboarding, Ego Co. may dedicate a portion of the Client's subscription capacity to establishing the strategic, creative, and operational foundation necessary to provide ongoing services.
Onboarding activities may include, as applicable:
-
kickoff and discovery meetings;
-
review of Client's existing brand, marketing, and digital presence;
-
brand and audience familiarization;
-
marketing or content audits;
-
strategy development and initial planning;
-
content and campaign planning;
-
account, platform, and software access setup;
-
collection and organization of Client assets;
-
establishment of workflows and approval processes;
-
development of initial creative direction;
-
creation of calendars, roadmaps, or strategic recommendations; and
-
other reasonable setup activities necessary for the engagement.
First-Month Deliverables
Client acknowledges that the first billing cycle may differ from subsequent billing cycles because a portion of Ego Co.'s time and capacity is allocated to onboarding, setup, research, strategy, and planning.
Accordingly, the timing, quantity, or cadence of production deliverables during the first billing cycle may differ from the standard ongoing monthly cadence described in Client's subscription.
Onboarding work constitutes services performed under the subscription and is included in the value of the first billing cycle. Client is not entitled to additional deliverables, credits, extensions, or refunds solely because a portion of the first billing cycle was dedicated to onboarding activities.
Unless expressly agreed otherwise in writing, any monthly deliverable quantities stated in Client's ongoing subscription represent the anticipated ongoing service cadence following completion of onboarding and are subject to the applicable scope, Client cooperation, and these Terms.
Client Onboarding Responsibilities
Client agrees to timely complete all onboarding requirements requested by Ego Co., including questionnaires, meetings, asset submission, account access, approvals, and other information reasonably necessary to begin services.
Delays caused by Client's failure to complete onboarding requirements do not postpone the subscription start date, pause billing, extend the billing cycle, or entitle Client to a refund or credit.
Any estimated onboarding timeline depends upon Client's timely cooperation.
Transition to Ongoing Services
Following completion of onboarding, Ego Co. will transition the Client into the regular service cadence applicable to the Client's subscription.
The exact timing of this transition may vary based on the scope of services, complexity of the Client's business, availability of required materials and access, and Client responsiveness.
Cancellation
Unless a different commitment period is stated in the applicable subscription or agreement, Client may cancel a month-to-month subscription at any time.
Cancellation applies to the next billing cycle and does not retroactively cancel the current billing period.
Amounts already charged are non-refundable except where required by law.
Client remains entitled to services included in the paid billing period, subject to these Terms and Client's continued cooperation.
Cancellation requests must be submitted through the cancellation method designated by Ego Co. or otherwise communicated in writing.
Fixed Monthly Pricing
Subscriptions are priced based on ongoing access, reserved capacity, strategic support, and the services available within the subscription—not solely on the number of deliverables actually requested or completed.
The monthly subscription fee therefore remains the same regardless of Client usage during a particular billing period.
Unused services, deliverables, meetings, hours, or other benefits do not roll over into future billing periods unless Ego Co. expressly agrees otherwise in writing.
Scope
Each subscription includes only the services and deliverables identified in the applicable subscription description, proposal, or scope of work.
Anything not expressly included is outside the scope of the subscription.
Requests exceeding the agreed scope may, at Ego Co.’s discretion:
-
be declined;
-
be deferred to a future billing period;
-
require a subscription upgrade;
-
require an additional fee; or
-
require a separate agreement.
Ego Co. is under no obligation to perform work outside the agreed scope without written approval and, where applicable, additional payment.
Capacity
A subscription does not provide unlimited labor, unlimited deliverables, or unlimited revisions unless expressly identified as such in writing.
Ego Co. may reasonably manage workload, scheduling, and production capacity throughout each billing period.
3. PARTNERSHIP EXPECTATIONS
Successful marketing requires active Client participation.
Client agrees to:
-
attend scheduled planning meetings when reasonably necessary;
-
provide requested information, materials, credentials, and assets;
-
review deliverables within the requested timeframe;
-
communicate promotions, events, launches, operational changes, and other relevant business information;
-
provide accurate information regarding Client's business, products, and services; and
-
designate an authorized point of contact when requested.
Ego Co. is not responsible for reduced performance, missed opportunities, delayed publication, incomplete deliverables, or timeline changes resulting from Client's failure to fulfill these responsibilities.
4. CLIENT DELAYS, INACTIVITY & DEPENDENCIES
Ego Co.’s ability to complete services depends on Client's timely cooperation.
If Client fails to provide requested feedback, approvals, information, credentials, content, materials, or other dependencies, applicable deadlines and delivery dates may automatically be extended.
Client delays do not pause subscription billing unless Ego Co. expressly agrees otherwise in writing.
If a Client becomes unresponsive for fourteen (14) or more consecutive days, Ego Co. may pause the project or services until Client responds.
If inactivity continues for thirty (30) or more days, Ego Co. may, at its discretion, close the applicable project or terminate the engagement.
Payments already made remain non-refundable.
Resuming an inactive project may be subject to Ego Co.’s then-current availability and may require a restart or reactivation fee if communicated to Client before work resumes.
5. REVISIONS & APPROVALS
Unless otherwise specified in writing, subscription deliverables include one (1) reasonable round of revisions.
A “revision round” means one consolidated set of requested changes submitted by Client following review of a deliverable.
Multiple separate messages, emails, comments, or change requests concerning the same deliverable may be consolidated and treated as a single revision round.
Revisions must remain consistent with the originally approved direction and scope.
Requests that substantially change the concept, strategy, layout, structure, functionality, creative direction, or previously approved work are not revisions and may be treated as new work.
Additional revisions may require additional fees.
Client Approval
Approval may be provided through email, Client's project-management system, messaging platform, meeting confirmation, or another written communication channel used by the parties.
Once Client approves a deliverable or direction, subsequent requests to reverse or substantially modify the approved work may be considered additional work.
Client is responsible for reviewing all materials for accuracy before publication or final approval, including names, pricing, dates, factual claims, contact information, spelling, legal disclosures, product information, and other Client-specific information.
6. TURNAROUND TIMES & DEADLINES
Any turnaround time or completion date provided by Ego Co. is an estimate unless expressly identified in writing as a guaranteed deadline.
Timelines may be affected by:
-
Client response times;
-
revision requests;
-
changes in scope;
-
project complexity;
-
third-party platforms;
-
technical issues;
-
Client-provided materials;
-
workload and production capacity; and
-
events outside Ego Co.’s reasonable control.
Ego Co. is not responsible for delays attributable to Client or third parties.
7. MEETINGS, CONSULTING & STRATEGY CALLS
Meetings and calls are subject to availability and must be scheduled in advance.
Unless otherwise stated, Client must provide at least twenty-four (24) hours' notice to cancel or reschedule a meeting.
Missed meetings or meetings canceled with insufficient notice may be considered used and may not be rescheduled without an additional fee.
Strategy and consulting services are advisory.
Unless implementation is expressly included in Client's scope, Ego Co. is not responsible for implementing recommendations provided during strategy or consulting engagements.
Additional meetings outside Client's scope may be offered for an additional fee and are subject to availability.
8. WEBSITE DESIGN & DEVELOPMENT
Website services include only the pages, functionality, integrations, revisions, and other services identified in Client's scope.
Unless otherwise agreed, websites may be built using third-party platforms such as Wix, Squarespace, Shopify, or similar providers.
Third-Party Costs
Unless expressly included in writing, Client is responsible for:
-
domain registration;
-
hosting;
-
website platform subscriptions;
-
premium applications;
-
plugins;
-
fonts;
-
stock photography;
-
premium integrations;
-
transaction fees;
-
email hosting;
-
third-party software; and
-
other external costs.
Third-Party Platforms
Ego Co. does not own or control third-party platforms.
Ego Co. is not responsible for platform outages, software changes, discontinued functionality, security incidents, compatibility changes, algorithm changes, pricing changes, account suspensions, or other actions taken by third-party providers.
Website Revisions
Unless otherwise stated in Client's scope, website projects include up to one (1) revision round.
Revisions are limited to reasonable refinements within the approved design and structure.
The following may constitute additional work:
-
additional pages;
-
major layout changes;
-
redesigning approved sections;
-
new functionality;
-
new integrations;
-
substantial copy changes;
-
changes to previously approved direction; or
-
requests not included in the original scope.
Website Handoff
Upon completion, final payment, and satisfaction of Client's obligations, Ego Co. will provide or transfer applicable website access as reasonably necessary.
After handoff, Client is responsible for maintaining the website unless ongoing maintenance is included in an active Ego Co. subscription.
Ego Co. is not responsible for errors, outages, broken functionality, deleted content, security issues, or other problems resulting from changes made by Client or third parties after handoff.
9. BRANDING, LOGOS & CREATIVE WORK
Branding and logo services include only the concepts and revision rounds specified in Client's scope.
Unless otherwise stated, logo and brand projects include up to one (1) revision round.
Revisions are intended to refine the selected creative direction.
Requests for entirely new concepts or substantial changes in creative direction after Client has selected or approved a direction may require additional fees.
Ego Co. does not guarantee that any proposed name, logo, slogan, design, or other brand element is legally available for trademark registration or free from all third-party claims.
Client is responsible for obtaining legal trademark or intellectual-property clearance where appropriate.
10. MARKETING & COMMUNICATIONS PLANS
Marketing Plans, Communications Plans, audits, roadmaps, and similar strategy deliverables are advisory unless implementation is expressly included.
Implementation, execution, content creation, campaign management, advertising, and ongoing management are not included unless stated in Client's scope.
Unless otherwise specified, these deliverables include one (1) revision round.
Ego Co. does not guarantee results arising from implementation of any recommendation.
11. SOCIAL MEDIA & DIGITAL MARKETING
Where Ego Co. manages social media or other digital channels, Client acknowledges that third-party platforms control account access, algorithms, distribution, moderation, advertising rules, and platform functionality.
Ego Co. cannot guarantee reach, engagement, follower growth, conversions, virality, account verification, or platform availability.
Ego Co. is not responsible for:
-
algorithm changes;
-
platform outages;
-
account restrictions or suspensions not caused by Ego Co.'s intentional misconduct;
-
removal of content by a platform;
-
changes in platform policies;
-
loss of reach or engagement;
-
third-party comments or conduct; or
-
changes to features or functionality.
Unless expressly included in scope, community management does not require continuous monitoring or twenty-four-hour response coverage.
12. CLIENT-PROVIDED CONTENT & MATERIALS
Client represents and warrants that Client owns or has obtained all necessary rights, licenses, permissions, and consents for any content or materials provided to Ego Co., including:
-
photographs;
-
videos;
-
music;
-
logos;
-
trademarks;
-
fonts;
-
written copy;
-
testimonials;
-
customer information;
-
graphics;
-
data; and
-
other intellectual property.
Client is solely responsible for the legality and accuracy of Client-provided materials.
Client agrees to indemnify and hold Ego Co. harmless from third-party claims arising from materials supplied, directed, or approved by Client, to the extent permitted by applicable law.
13. CLIENT ACCOUNTS, PASSWORDS & ACCESS
Client may be required to provide Ego Co. access to social media accounts, websites, analytics platforms, email marketing platforms, advertising accounts, or other systems.
Client authorizes Ego Co. to access and use those systems solely as reasonably necessary to provide contracted services.
Where possible, Client should provide access through platform-supported user permissions rather than sharing primary passwords.
Client remains responsible for ownership, security, billing, and administration of Client's third-party accounts.
Upon termination of services, Client is responsible for removing Ego Co.'s access where appropriate.
14. INTELLECTUAL PROPERTY
Final Deliverables
Upon full payment of all amounts due, Client receives ownership of final deliverables specifically created for Client, except for materials expressly excluded below or owned/licensed by third parties.
Ego Co. Property
Ego Co. retains ownership of:
-
drafts;
-
rejected concepts;
-
unused concepts;
-
working files unless expressly included;
-
templates;
-
systems;
-
processes;
-
workflows;
-
questionnaires;
-
internal documents;
-
methods;
-
strategy frameworks;
-
know-how;
-
reusable design components; and
-
intellectual property developed independently of Client's engagement.
Nothing in these Terms transfers ownership of Ego Co.'s underlying methods, systems, processes, or proprietary materials.
Third-Party Materials
Third-party fonts, stock assets, software, templates, music, plugins, photographs, or other licensed materials remain subject to the applicable third-party license.
Client receives only the rights permitted under those licenses.
Portfolio Rights
Unless Client and Ego Co. agree otherwise in writing, Client grants Ego Co. permission to display completed, publicly released work for Ego Co.'s portfolio, website, social media, case studies, award submissions, presentations, and promotional materials.
Ego Co. will not intentionally disclose Client's confidential information in doing so.
15. FILES & SOURCE MATERIALS
Ego Co. will provide final deliverables included in Client's scope.
Editable source files, raw working files, internal design files, unused concepts, templates, project files, or other production materials are not included unless expressly stated in writing.
Ego Co. is not required to maintain Client files indefinitely after an engagement ends.
Client is responsible for downloading and maintaining copies of final deliverables and assets provided through Client's FileShare, portal, or other delivery system.
Ego Co. may delete or archive project materials after a reasonable period following termination or completion.
16. PAYMENT
Client agrees to pay all fees according to the applicable invoice, subscription, proposal, or payment schedule.
Unless otherwise stated, payments are due in advance of services.
Ego Co. may require deposits or milestone payments for certain engagements.
Deposits and payments for work already performed or capacity already reserved are non-refundable except where otherwise required by law.
Failed or Late Payments
If payment fails or becomes overdue, Ego Co. may immediately pause services until payment is resolved.
Deadlines may be adjusted accordingly.
Ego Co. is not responsible for delays resulting from payment-related pauses.
Client remains responsible for amounts incurred before suspension or termination.
Ego Co. may withhold final deliverables, ownership transfers, website transfers, or other handoff materials until all outstanding amounts are paid.
17. REFUNDS
Except where required by applicable law or expressly stated otherwise in writing, all sales are final once work begins or capacity has been reserved.
No refunds, prorated refunds, or credits are provided for:
-
unused subscription services;
-
unused deliverables;
-
unused meetings;
-
Client delays;
-
Client inactivity;
-
changes in Client's business circumstances;
-
Client's decision not to use completed work; or
-
cancellation during an already-paid billing period.
Nothing in this section limits any non-waivable rights Client may have under applicable law.
18. TERMINATION BY EGO CO.
Ego Co. may suspend or terminate services if Client:
-
fails to make required payments;
-
materially breaches these Terms;
-
repeatedly exceeds or disregards agreed scope;
-
fails to provide information or cooperation reasonably necessary to perform services;
-
engages in abusive, threatening, harassing, discriminatory, or inappropriate conduct toward Ego Co. personnel;
-
requests unlawful, deceptive, infringing, or unethical work; or
-
otherwise makes continued performance commercially unreasonable.
Where reasonably practicable, Ego Co. may provide Client an opportunity to correct a breach before termination.
Termination does not eliminate Client's obligation to pay amounts already earned, incurred, or otherwise due.
19. OFFBOARDING
Following cancellation or termination, Ego Co. will complete reasonable offboarding activities included within Client's paid scope.
Unless otherwise agreed, Ego Co. is not obligated to perform new creative work, new requests, additional revisions, new strategy work, or additional services during offboarding merely because the subscription remains active.
Ego Co.'s obligations during offboarding are limited to:
-
completing outstanding work that remains within the agreed paid scope;
-
delivering completed final assets;
-
providing applicable Client-owned materials;
-
completing agreed website or account handoffs; and
-
reasonably facilitating removal or transfer of Ego Co.'s access.
Requests outside these obligations may require an additional fee.
Client is responsible for retrieving delivered materials within the timeframe provided by Ego Co.
20. CONFIDENTIALITY
Each party may receive confidential or proprietary information belonging to the other.
Each party agrees to use reasonable care to protect confidential information and to use such information only as necessary to fulfill the engagement.
Confidential information does not include information that:
-
is publicly available through no breach of these Terms;
-
was already lawfully known to the receiving party;
-
is independently developed without use of confidential information;
-
is lawfully received from another source; or
-
must be disclosed by law or valid legal process.
These confidentiality obligations survive termination of the engagement.
21. INDEPENDENT CONTRACTOR
Ego Co. is an independent contractor.
Nothing in these Terms creates an employment relationship, partnership, joint venture, fiduciary relationship, franchise, or agency relationship between Ego Co. and Client.
Neither party has authority to bind the other except as expressly agreed in writing.
22. CLIENT DECISIONS & LEGAL COMPLIANCE
Client retains final decision-making authority regarding Client's business.
Client is responsible for ensuring that its products, services, claims, promotions, advertising, disclosures, business practices, and operations comply with applicable laws, regulations, professional rules, and industry requirements.
Ego Co. does not provide legal, tax, accounting, medical, regulatory, or financial advice.
Any regulated-business Client is responsible for obtaining appropriate professional review of marketing materials before publication.
23. INDEMNIFICATION
To the extent permitted by applicable law, Client agrees to defend, indemnify, and hold harmless Ego Co., its owners, officers, contractors, employees, and agents from third-party claims, damages, liabilities, losses, and reasonable costs arising from:
-
Client-provided materials;
-
Client's products or services;
-
Client's infringement of third-party rights;
-
Client's unlawful or misleading statements;
-
Client's breach of these Terms; or
-
Client's use or modification of deliverables contrary to Ego Co.'s instructions or after handoff.
This provision does not require Client to indemnify Ego Co. for liabilities resulting from Ego Co.'s own intentional misconduct or to the extent indemnification is prohibited by applicable law.
24. DISCLAIMER OF WARRANTIES
Except as expressly stated in these Terms, services and deliverables are provided “as is” and “as available” to the fullest extent permitted by law.
Ego Co. disclaims implied warranties to the extent such warranties may lawfully be disclaimed.
Ego Co. does not warrant that services will be uninterrupted, error-free, or suitable for every particular purpose.
25. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EGO CO. WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF DATA, OR LOSS OF GOODWILL ARISING FROM OR RELATED TO THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EGO CO.'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO A PARTICULAR ENGAGEMENT WILL NOT EXCEED THE AMOUNT ACTUALLY PAID BY CLIENT TO EGO CO. FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the legal theory asserted and to the fullest extent permitted by applicable law.
26. FORCE MAJEURE
Neither party will be liable for delay or failure to perform caused by circumstances outside that party's reasonable control, including:
-
natural disasters;
-
severe weather;
-
fire;
-
widespread internet or utility outages;
-
government action;
-
war or civil unrest;
-
labor disruptions;
-
serious illness or emergency;
-
cyberattacks affecting third-party infrastructure; or
-
material outages or failures of third-party technology providers.
Performance deadlines will be reasonably extended for the duration of the disruption.
27. DISPUTE RESOLUTION
Before initiating formal proceedings, the parties agree to make a good-faith attempt to resolve any dispute arising from or relating to these Terms or Ego Co.'s services through written communication.
If the dispute cannot be resolved informally, the parties agree to participate in good-faith mediation before initiating arbitration, except where emergency injunctive relief or another remedy is reasonably necessary to protect intellectual property, confidential information, or other rights.
If mediation does not resolve the dispute, the dispute will be resolved through binding arbitration in accordance with applicable Florida law and the rules of the arbitration provider mutually selected by the parties.
The arbitration will take place in Sarasota County, Florida, unless the parties agree to another location or remote proceeding.
To the fullest extent permitted by law, disputes will be resolved individually and not as part of a class, collective, consolidated, or representative proceeding.
Nothing in this section prevents either party from pursuing a claim in small claims court when the claim qualifies for that forum.
THIS SECTION AFFECTS LEGAL RIGHTS, INCLUDING THE RIGHT TO HAVE CERTAIN DISPUTES DECIDED BY A COURT OR JURY. CLIENT SHOULD REVIEW IT CAREFULLY.
28. GOVERNING LAW
These Terms and all engagements between Client and Ego Co. are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
For any dispute not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state or federal courts having jurisdiction over Sarasota County, Florida, unless applicable law requires otherwise.
29. ELECTRONIC COMMUNICATIONS & ACCEPTANCE
Client agrees that contracts, approvals, invoices, notices, disclosures, and other communications may be provided electronically.
Electronic acceptance, electronic signatures, online checkout acceptance, payment, and other electronic manifestations of agreement may constitute acceptance of these Terms to the extent permitted by applicable law.
30. CHANGES TO SERVICES OR PRICING
Ego Co. may modify its services, subscription offerings, or pricing from time to time.
Changes to subscription pricing will apply prospectively and will be communicated to affected Clients before the new pricing takes effect.
Material changes to an active Client's agreed scope or fees will not apply retroactively unless mutually agreed in writing.
31. MODIFICATIONS TO THESE TERMS
Ego Co. may update these Terms periodically.
Updated Terms will apply prospectively from the stated effective date.
For existing active engagements, material changes affecting Client's contractual obligations will apply as permitted by applicable law and the applicable Client agreement.
32. ENTIRE AGREEMENT
These Terms together with the applicable proposal, scope of work, subscription description, invoice, order form, and any other expressly incorporated written agreement constitute the entire agreement between Ego Co. and Client concerning the applicable services.
They supersede prior discussions, representations, or understandings concerning those services.
No oral statement modifies these Terms unless confirmed in writing by Ego Co. and Client.
33. SEVERABILITY
If any provision of these Terms is found invalid or unenforceable, that provision will be modified or enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
34. WAIVER
Failure by Ego Co. to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.
A waiver is effective only if made in writing.
35. ASSIGNMENT
Client may not assign or transfer its rights or obligations under an engagement without Ego Co.'s prior written consent.
Ego Co. may assign these Terms or an engagement in connection with a merger, acquisition, restructuring, sale of substantially all business assets, or other lawful business succession.
36. SURVIVAL
Any provisions that by their nature should continue after termination will survive termination, including provisions relating to payment obligations, confidentiality, intellectual property, indemnification, limitations of liability, dispute resolution, and governing law.
37. AUTHORITY TO ENTER AGREEMENT
The person accepting these Terms on behalf of a company or other organization represents that they have authority to bind that organization.
